BPWood Issues Letter of Intent to Acquire Minority Equity Interest in LDCwood

Penticton, Canada and Ostend, Belgium — February 16, 2026 — LDCwood (Ostend, Belgium) and BPWood Ltd. (Penticton, Canada) today announced that BPWood has issued a Letter of Intent (LOI) to acquire a minority equity interest in LDCwood.

The proposed investment marks a significant step in strengthening the ThermoWood® supply partnership established between the two companies in 2022. By combining LDCwood’s advanced manufacturing capabilities with BPWood’s established North American market presence, the companies intend to accelerate the growth and adoption of ThermoWood® in the region. This new level of partnership will support joint and collaborative programs across North America, expanding access to top-quality thermally modified wood.

Both LDCwood and BPWood are members of the International ThermoWood® Association (ITWA) (www.thermowood.fi), reflecting their shared commitment to advancing ITWA’s patented, third-party audited open-system standard for thermally modified wood production worldwide, and to establishing its science-based gold standard within the North American built environment.

Completion of the transaction will be subject to customary due diligence and the negotiation and execution of definitive agreements.
